JOB SUMMARY
The Corporate Paralegal supports the Corporate Legal Department and General Counsel by assisting with the day-to-day operations of the legal function, including the intake, review, and coordination of legal matters such as subpoenas, regulatory inquiries, and legal correspondence. The role conducts preliminary issue identification, performs legal and factual research and assists in the preparation of responses and documentation for counsel review.
In addition, the Corporate Paralegal supports the Corporate Secretary in maintaining corporate governance records and assists with document retention, compliance, and reporting activities. This position collaborates with internal stakeholders and external counsel to facilitate the timely and accurate handling of corporate matters, while ensuring consistency and quality across all documents and communications. The role also provides general legal and administrative support to the Corporate Legal Department as assigned.
ESSENTIAL JOB FUNCTIONS
- Intake and preliminary review of Corporate Legal Department mail
- As part of intake and preliminary review requirements, conduct preliminary issue identification for appropriate research, review, and follow up
- Intake and review of subpoenas served on the company, collect responsive documents, research issues, and draft responses for General or Corporate Counsel's review and approval
- Assist with the maintenance of corporate books, governance records, and executive materials consistent with state and regulatory requirements
- Prepare and organize legal correspondence, summaries, and reports for executives and external partners
- Intake and preliminary review of governmental inquiries, including insurance department complaints
- Obtain and maintain a Notary Public commission (if not already held) to support business-related notarizations as needed
- Monitor and update ImageRight document retention systems
- Prepare reports of Corporate Legal Department matters as requested by General Counsel
- Conduct legal and factual research and due diligence to support contract negotiations, compliance assessments, and business transactions, as assigned by General Counsel
- Ensure document accuracy, consistency, and formatting across all legal communications and agreements
- Collaborate with internal stakeholders and external counsel to facilitate information exchange and timely completion of legal matters
ADDITIONAL JOB FUNCTIONS
- Provide support to and coordinate with records custodians for corporate record retention program
- Draft correspondence, pleadings, contract documents, etc.
- Comply with policies and directives outlined in the company handbook
- Perform other duties as assigned
- Adhere to all applicable federal, state, and local laws
SKILLS/TECHNICAL EXPERTISE
- Experience supporting executive-level counsel or leadership
- Strong work-ethic, be a self-starter, and display the ability to work with various levels of personnel, including senior management
- Extremely organized with a strong sense of priority, urgency, and commitment to deadlines
- Exceptional writing skills
- Current Notary Public commission, or ability and willingness to obtain and maintain a Notary Public commission within a reasonable timeframe
- Ability to prioritize multiple projects
- Ability to work independently, while functioning well in a team environment
- Ability to understand general business operations, issues, and dynamics beyond the scope of basic legal issues
- Strong interpersonal skills and ability to work well in an environment where coordination and teamwork with legal and business associates is a priority
- Proficiency in Microsoft Office Suite and contract management tools
- Superior communication skills, both verbal and written
- Superior legal research skills and attention to detail
- Ability to learn and become proficient in use of internal electronic file databases, including but not limited to, ImageRight and Claim Center systems
EDUCATION
- Paralegal Degree or Certification required
- Associates Degree required
- Bachelor's Degree preferred
The base pay is just one component of Donegal's total compensation package for employees. This role may also be eligible to participate in a discretionary annual incentive program. The amount of any bonus varies and is subject to the terms and conditions of the applicable incentive plan.
